Dr. Grant Devine B.Sc., M.Sc., M.B.A., Ph.D., P.Ag., FAIC., SOM, – Chairman

Dr. Grant Devine has had a distinguished career in academics, business and served as Premier of Saskatchewan from May 1982 to November 1991.While Premier he presided over the privatization of Potash Corp. which became the world’s largest producer of potash and the third largest producer of nitrogen and phosphate, and Cameco which is the world’s largest publicly traded uranium company. Dr. Devine also served on the Board of Agrium for ten years.

Received the Saskatchewan Order of Merit in 2009 and the Queen Elizabeth II Diamond Jubilee Medal for Outstanding Public Service in December 2012.

Jim MacKenzie, President & CEO, – Director

Mr. Jim MacKenzie serves as the Chief Executive Officer/President of Viscount Mining Corp. and was the founder in 2010. Jim has led the development of numerous Joint Venture mining agreements, land acquisitions, and exploration contracts.

Mr. MacKenzie is skilled in the development, structure, and operation and financing of both private and public companies with a successful track record of raising equity and project capital. He has consistently demonstrated strong results through strategic planning, quality acquisitions and partnerships.

Scott Davis CPA, CGA – Chief Financial Officer

Mr. Davis is a partner of Vancouver-based Cross Davis & Company LLP Chartered Professional Accountants. The firm is focused on providing accounting and management services for publicly-listed companies. Mr. Davis has extensive accounting and finance experience dealing with the complexities of both private and public corporations in a variety of industries. His experience includes CFO positions of several companies listed on the TSX Venture Exchange.

Andrew Gertler, B.Comm, MBA, – Director

Mr. Andrew Gertler has over 20 years of business experience in the areas of Private Equity, Distressed Debt and Real Estate, with many successfully completed transactions. Mr. Gertler has been an Independent Director of Viscount Mining Corp. since July 2013. Mr. Gertler was been Principal of Lester Asset Management from July 2006 until July 2010 and remains an agent of Lester Asset Management, continuing to service its clients. Since 2004 Mr. Gertler has acted as a consultant, specializing in public and private market transactions including listing companies on public exchanges, cross border transactions, raising financing and advising on mergers and acquisitions. From April 2001 to April 2004, Mr. Gertler served as the Managing Director of Gestion Jean-Paul Auclair Inc., a private equity firm. Prior to Gestion Jean-Paul Auclair, he served as the Senior Vice President and Director of Hudson Advisors Canada, an asset management firm, which he joined in April 1997.

Mr. Gertler has been called upon to share his business expertise on a consulting basis by many companies which went on to be notable successes. He been a member of the Board of Directors of numerous public and private Companies. Mr. Gertler holds a Bachelor of Commerce from McGill University and an M.B.A. from the Richard Ivey School of Business at The University of Western Ontario.

William Macdonald, BA, LLB, – Corporate Secretary, Senior Advisor

Mr. William L. Macdonald is Founder and Principal of Macdonald Tuskey, Corporate and Securities Lawyers, a boutique securities and corporate finance firm located in Vancouver, British Columbia. Mr. Macdonald serves as Corporate Secretary and Senior Advisor of Viscount Mining Corp. From February 1998 to April 2008, he was a Partner at Clark Wilson LLP. He was also a Member of Clark Wilson LLP’s corporate finance and securities and corporate commercial practice groups.

Mr. William Macdonald has a varied practice, focusing on cross-border and international corporate finance, securities and transactional matters. His areas of practice include corporate finance, securities, and corporate commercial. He advises clients who are listed on NASDAQ, OTCBB, TSE, and the TSX Venture Exchange with respect to regulatory requirements and filings; public and private companies effecting equity and convertible debt financings; and clients on matters relating to acquisitions, mergers, takeovers, initial public offerings, secondary financings, public company disclosure requirements, and stock exchange practice.

He has been a Member of the Law Society of British Columbia since February 1999, the New York State Bar since 2002, and the Vancouver Bar Association. He was called to the British Columbia Bar in February 1999, and was admitted to practice in New York in March 2002. Mr. Macdonald obtained a B.A. degree in Political Science from Simon Fraser University in 1993 and a Bachelor of Laws degree from the University of Western Ontario in 1997. He also completed the Canadian Securities Course in 1997.

Kaare G. Foy, B.Ec, Advisor

Kaare G. Foy has over 30 years of senior management and board experience in the mining industry for both public and private companies in Canada, Australia, and UK.

From 2003 to 2012, he was the Executive Chairman of Great Panther Silver, a TSX main board and NYSE MKT issuer, and during this time Great Panther’s capitalization reached US$600 million.

He received the Queen Elizabeth II Diamond Jubilee Medal for Outstanding Public Service in 2013.

Mark Abrams, BSc., MSc. – Director, VP of Exploration

Mr. Mark Abrams has more than 30 years of domestic and international mineral exploration experience. Most recently, he was responsible for exploration and acquisitions in the United States for Golden Predator Corp., prior to which he worked for 12 years for Agnico-Eagle (USA) Ltd., where he led his exploration team to a gold discovery in northeastern Nevada. Mr. Abrams has designed, initiated and conducted advanced project evaluations and acquisitions in the in United States, Mexico, Honduras, Guatemala, Chile, Argentina, Canada, China and Indonesia, including the acquisition of and first exploration work on the Donlin Creek project in Alaska for Placer Dome. He conducted exploration work over 18 years for Placer Dome within the Cortez joint venture and Bald Mountain mine properties. He was responsible for acquiring the lands now occupied by portion of the Pipeline mine and was involved in the early exploration work on the deposit. Mr. Abrams is experienced in creating and managing programs and budgets ranging from $100,000 to $15,000,000, and holds a BSc. in Geology and MSc. in Geology from Eastern Washington University.

Dr. James P. Robinson, B.S., M.S., Ph.D. – Senior Technical Advisor

Dr. James Robinson has over 35 years of experience as a professional geologist, including approximately 30 years in precious metal exploration.  He was the senior geologist involved with all aspects of the initial two-year evaluation program of the Viscount Cherry Creek property, including comprehensive geologic mapping, geochemical sampling, drill target generation, drilling supervision, and subsurface interpretations.  Most of his mineral experience has focused on frontier and early-stage exploration in the eastern and southern Basin and Range of Nevada and Utah.  This included managing successful exploration programs for Alta Gold Company, Pilot Gold Company, DNI Metals, and Battle Mountain Exploration Company.  Dr. Robinson was instrumental in the development of the Alta Gold Griffon Mine from grassroots discovery through production and the Alta Kinsley Mine from development drilling to the discovery of several satellite deposits.

Dr. Robinson holds a Ph.D. in geology from Cornell University, an M.S. in geology from the University of Southern California, and a B.S. in geology from Ohio University.  He is a Registered Professional Geologist in Utah, Idaho, and Arizona.

Harald Hoegberg, PG – Independent Advisor, Qualified Person

Mr. Harald Hoegberg is an exploration economic geologist with 40 years of experience in domestic and international mineral projects. He has designed research programs and supervised all facets of exploration programs, including supervision of helicopter reconnaissance generative and project and property evaluations. Most recently Hoegberg evaluations of many types of gold deposits, specialty metals, uranium and IOCG deposits. Mr. Hoegberg has acted as a Qualified Person for NI 43-101 purposes for several companies and is Certified Professional Geologist with the American institute of Professional Geologists and a member of the Society of Economic Geologists.

Mr. Hoegberg emigrated from Sweden in 1970 and his studies at Boston University. He began his career with Hunt Oil Company (Dallas) in their Energy Minerals Group. He then worked for several junior gold companies. In 1989, he joined Placer-Dome and was promoted to senior geologist. In 1992, Mr. Hoegberg started his consulting career. He has worked both independently and with Henkle and Associates, an economic mineral and environmental consulting firm. Clients have included U.S. Lime & Minerals, Cyprus Mining, Tech Resources, Placer-Dome, Evolving Gold, BE Resources, Tuvera Resources, Northland Resources, The Snowden Group, Viscount Mining, and others.

Mr. Hoegberg has worked with Viscount supervising Snowden Group’s evaluation of the Cherry Creek property that began in May 2011. He supervised the field work for the NI 43 -101 and was the lead author of the report. He supervised the 2017 field program at Viscounts Silvercliff project, and is managing the 2020 program.
